1. About These Terms
These terms and conditions apply to the supply of training courses, workshops, programmes, assessments, learning materials and related services by Nick Patience Safety and Training Ltd, a training provider based in the United Kingdom. By booking, purchasing, attending or accessing any training service, the customer agrees to these terms.
2. Definitions
- Provider, we, us or our means Nick Patience Safety and Training Ltd.
- Customer, you or your means the individual, business or organisation making the booking or paying for the training.
- Delegate means the person attending or receiving the training.
- Course means any training course, workshop, programme, online session, assessment or learning service supplied by us.
- Booking means a confirmed request to purchase or reserve a place on a course.
3. Bookings and Contract Formation
A booking is subject to availability and is not confirmed until we issue written confirmation by email or another durable format. We may refuse or cancel a booking where payment has not been received, information supplied is incomplete or inaccurate, eligibility requirements are not met, or the course is no longer available.
4. Fees, Payment and Invoicing
Course fees are as stated in our quotation, booking form, invoice or website at the time of booking. Unless stated otherwise, fees are payable in full before the course start date. For business customers, invoices must be paid within 30 days of the invoice date. We reserve the right to withhold access to training, materials, certificates or assessment results until all sums due have been paid.
5. Consumer Cancellation Rights
If you are a consumer and you book a course online, by telephone or away from our premises, you may have a statutory right to cancel within 14 days of the contract being formed. If you ask us to start providing services during that period, you may be required to pay a proportionate amount for services already supplied. If the course has been fully delivered within the cancellation period after your express request and acknowledgement, your cancellation right may be lost. This section does not affect your statutory rights.
6. Customer Cancellation and Cancellation Fees
All cancellations must be made in writing by email to nick@npsat.co.uk. The cancellation date is the date we receive your written notice. Cancellation charges are intended to reflect our reasonable administration, preparation, venue, trainer, materials and lost opportunity costs.

Where a customer cancels because we have made a significant change to the course, cancelled the course, or failed to provide the service with reasonable care and skill, the above cancellation fees will not limit any statutory rights or remedies available to the customer.
7. Transfers and Substitutions
Subject to availability, we may allow a customer to transfer a booking to another course date or substitute another delegate. Requests must be made in writing. Transfers requested more than 14 calendar days before the course start date may be accepted without charge. Transfers requested 14 calendar days or fewer before the course start date may be subject to an administration fee of £40 and any additional costs already incurred.
8. Cancellation, Postponement or Changes by Us
We may cancel, postpone, reschedule, relocate, change trainer, or move a course online where necessary due to low numbers, trainer illness, venue issues, technical failure, safety concerns, regulatory requirements or circumstances outside our reasonable control. Where we cancel or materially change a course, we will offer a transfer to an alternative date where available or a refund of the course fee paid. We will not be responsible for travel, accommodation, loss of earnings or other indirect costs unless required by law.
9. Course Attendance, Conduct and Requirements
Delegates must attend on time, participate appropriately and comply with all reasonable instructions, health and safety rules, venue policies, online learning rules and assessment requirements. We may remove a delegate from a course without refund if their conduct is disruptive, unsafe, discriminatory, abusive, dishonest or otherwise inappropriate.
10. Learning Materials and Intellectual Property
All course materials, slides, handouts, recordings, workbooks, assessment materials and online content are owned by us or our licensors unless stated otherwise. Customers and delegates may use materials for personal learning or internal business training purposes only. Materials must not be copied, shared, sold, published, recorded, uploaded or used to deliver competing training without our prior written consent.
11. Certificates and Assessment Results
Certificates, attendance records and assessment results will only be issued where the delegate has met the relevant attendance, participation, assessment and payment requirements. Where a qualification or certificate is issued by an awarding body, the awarding body’s rules and timescales may also apply.
12. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, breach of statutory rights where liability cannot lawfully be excluded, or any other liability that cannot be excluded by law. Subject to this, our total liability for any claim arising from a course is limited to the course fee paid for the affected booking. We are not liable for indirect, consequential or business losses, including loss of profit, loss of opportunity, loss of goodwill or loss of anticipated savings, except where such exclusion is not permitted by law.
13. Data Protection
We will process customer and delegate personal data in accordance with UK data protection law and our privacy notice. Personal data may be used to manage bookings, deliver training, verify attendance, administer assessments, issue certificates, meet legal or regulatory obligations and communicate about relevant services. Customers must ensure they have a lawful basis for providing delegate personal data to us.
14. Complaints
If you are dissatisfied with any aspect of our service, please contact us at nick@npsat.co.uk within [number] days of the issue arising. We will acknowledge complaints within [number] working days and aim to provide a response within [number] working days. If the course is regulated by an awarding body or professional body, additional complaints or appeals procedures may apply.
15. Force Majeure
We will not be liable for delay or failure to perform where caused by events outside our reasonable control, including extreme weather, illness, industrial action, epidemic or pandemic disruption, transport disruption, venue closure, fire, flood, power failure, internet or platform outage, acts of government, terrorism or other emergency. We will take reasonable steps to minimise disruption and notify affected customers as soon as practicable.
16. Governing Law and Jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, except that consumers resident in Scotland or Northern Ireland may also bring proceedings in their local courts where applicable.
